Stock Bonus

The Extraordinary Shareholders’ Meeting held on April 18, 2024 approved the Company’s capital increase through the capitalization of part of the profit reserves, with a stock bonus. For such bonus, 3,630,876 common shares (ON), 224,581 class A preferred shares (PNA) and 6,532,157 class B preferred shares (PNB) were issued and granted to the Company’s shareholders, as a bonus of one new share of each type or class for each 10 shares of the same type or class held, equivalent to an addition 10%. For the purposes or recording the bonus on the Individual Income Tax Return (IRPF), the acquisition cost to be reported so that shareholders may comply with Article 10 of Law 9,249, of December 26, 1995, is R$23.32 per share, regardless of the type.

The Extraordinary Shareholders’ Meeting held on April 20, 2022 approved the Company’s capital increase through the capitalization of part of the profit reserves, with a stock bonus. For such bonus, 3,300,797 common shares (ON), 205,537 class A preferred shares (PNA) and 5,936,952 class B preferred shares (PNB) were issued and granted to the Company’s shareholders, as a bonus of one new share of each type or class for each 10 shares of the same type or class held, equivalent to an addition 10%. For the purposes or recording the bonus on the Individual Income Tax Return (IRPF), the acquisition cost to be reported so that shareholders may comply with Article 10 of Law 9,249, of December 26, 1995, is R$24.24 per share, regardless of the type.

The Extraordinary Shareholders’ Meeting held on June 18, 2019 approved the Company’s capital increase through the capitalization of part of the profit reserves, with a stock bonus. For such bonus, 5,036,039 common shares (ON), 401,722 class A preferred shares (PNA) and 9,088,059 class B preferred shares (PNB) were issued and granted to the Company’s shareholders, as a bonus of one new share of each type or class for each 6 shares of the same type or class held, equivalent to an addition 16.6666666664%. For the purposes or recording the bonus on the Individual Income Tax Return (IRPF), the acquisition cost to be reported so that shareholders may comply with Article 10 of Law 9,249, of December 26, 1995, is R$15.46 per share, regardless of the type.

The Extraordinary Shareholders’ Meeting held on December 20, 2018 approved the Company’s capital increase through the capitalization of part of the profit reserves, with a stock bonus. For such bonus, 2,531,824 common shares (ON), 210,792 class A preferred shares (PNA) and 4,852,857 class B preferred shares (PNB) were issued and granted to the Company’s shareholders, as a bonus of one new share of each type or class for each 11 shares of the same type or class held, equivalent to an addition 9.0909090909%. For the purposes or recording the bonus on the Individual Income Tax Return (IRPF), the acquisition cost to be reported so that shareholders may comply with Article 10 of Law 9,249, of December 26, 1995, is R$11.86 per share, regardless of the type.
